Welcome to Marketing Wizly (“Marketing Wizly,” the “Application,” or the “Service”), a web-based application owned and operated by LEETHM Company LLC (“Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of Marketing Wizly and any related features, tools, or services we provide (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, if higher) to access or use the Services.

By using the Services, you represent and warrant that:

You are legally capable of entering into a binding contract with LEETHM Company LLC;
You are not prohibited from using the Services under any applicable laws; and
If you are using the Services on behalf of a business or organization, you have the full legal authority to bind that entity to these Terms, and “you” as used herein refers to both you and that entity.

LEETHM Company LLC reserves the right to refuse access to or terminate any account that does not meet these eligibility requirements.

Subscriptions and Payment

The Services are offered on a subscription basis, with both monthly and annual plans available. Subscription fees and available plans are displayed at the time of purchase and may change from time to time at Marketing Wizly’s discretion.

Automatic Renewal

All paid subscriptions automatically renew at the end of each billing cycle (monthly or annual, as applicable) unless you cancel your subscription before the renewal date. The renewal will be charged to your current payment method at the then-current subscription rate. You may cancel your subscription at any time through your account settings, and cancellation will take effect at the end of your current billing period.

Free Plan and Upgrades

Marketing Wizly may offer a free plan or feature-limited version of the Service. To continue using premium or subscription-only features, you must upgrade to a paid plan. When you upgrade, charges take effect immediately, and your access to paid features begins upon successful payment.

Payments

All payments are processed securely through our third-party payment provider. By purchasing a subscription, you authorize Marketing Wizly and our third-party payment provider to charge your selected payment method for the applicable fees, including recurring payments for automatic renewals. You are responsible for ensuring that your payment information remains current and valid.

No Refunds

All subscription payments are non-refundable, including partial billing periods or unused features. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing cycle, after which your access will automatically terminate.

Marketing Wizly reserves the right to modify subscription pricing or billing terms at any time, provided that any such changes will apply to future billing cycles.

License and Permitted Use

LEETHM Company LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Marketing Wizly Services for your own personal or internal business purposes, including creating marketing materials for your own business or for clients, in accordance with these Terms.

Except as expressly permitted above, you may not:

Use the Services for any unlawful, harmful, infringing, or offensive purpose;
Copy, modify, translate, adapt, or create derivative works based on the Services or any part thereof;
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying models of the Services;
Resell, sublicense, distribute, or otherwise make the Services available to third parties as part of a competing or commercial offering;
Use automated systems such as bots, scrapers, or crawlers to access, extract, or collect data from the Services; or
Interfere with, disrupt, or attempt to compromise the proper functioning, security, or performance of the Services.

Any use of the Services in violation of these restrictions may result in immediate suspension or termination of your account and may subject you to legal liability.

Acceptable Use Policy

You agree to use Marketing Wizly only for lawful purposes and in compliance with these Terms. You must ensure that any content you create, upload, or promote through Marketing Wizly aligns with all applicable laws, advertising standards, and ethical business practices.

We reserve the right, at our sole discretion, to review, suspend, or terminate any account that violates this Acceptable Use Policy or otherwise uses the service in a manner that could harm others or our platform.

Prohibited Businesses and Content

You may not use Marketing Wizly to create, promote, or distribute content, products, or services that:

Illegal or Unlawful Activity

Violate any applicable law, regulation, or third-party right.
Involve fraud, scams, pyramid schemes, counterfeit goods, or deceptive business practices.
Promote or facilitate hacking, malware, or circumvention of security measures.

Violence, Hate, or Harm

Advocate, incite, or glorify violence, terrorism, or self-harm.
Promote hate speech, harassment, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or nationality.
Include threats, intimidation, or encouragement of harm toward individuals or groups.

Adult or Sexual Content

Contain or promote sexually explicit, obscene, or pornographic material.
Market adult services, escort services, or sexual entertainment.
Target minors with inappropriate or explicit material.

Drugs and Controlled Substances

Promote or sell illegal drugs, controlled substances, or related paraphernalia.
Advertise or make unverified claims about health supplements, medical treatments, or pharmaceuticals not approved by relevant authorities.

Weapons and Dangerous Products

Promote or sell firearms, ammunition, explosives, or other weapons.
Encourage or depict the unsafe or unlawful use of weapons or hazardous materials.

Deceptive, Unethical, or Misleading Marketing

Make false, exaggerated, or misleading claims about products or services.
Engage in “get-rich-quick,” “miracle cure,” or other deceptive schemes.
Create spam campaigns, clickbait, or misleading digital advertisements.

Child Exploitation and Safety

Exploit or endanger minors in any way.
Collect or store data from minors without proper parental consent or legal authority.

Sensitive or Regulated Industries

Offer unlicensed financial, medical, or legal services.
Provide investment, credit repair, or lending services without proper authorization or compliance with applicable laws.

Platform Integrity

You agree not to:

Attempt to probe, scan, or test the vulnerability of Marketing Wizly’s systems.
Use automated scripts, bots, or scraping tools without authorization.
Interfere with or disrupt the platform’s performance, networks, or data security.
Misrepresent your identity, affiliation, or intent when using the service.

Enforcement

Marketing Wizly reserves the right to investigate and take appropriate action (including suspension or termination of access) for any use that violates this policy or otherwise interferes with the integrity or reputation of the platform. We may report unlawful activities to appropriate authorities where required.

AI-Generated Content

Marketing Wizly uses artificial intelligence to generate marketing materials — including, but not limited to, marketing plans, budgets, blog posts, email templates, advertising copy, and other related outputs — based on the information and prompts you provide.

All AI-generated content (“Generated Content”) is provided as-is, without any warranties or guarantees of accuracy, completeness, originality, legality, or suitability for a particular purpose. Generated Content may occasionally include errors, outdated information, or unintended bias.

You acknowledge and agree that:

You are solely responsible for reviewing, editing, and validating the Generated Content before using or publishing it.
You must ensure that any Generated Content you use complies with all applicable laws and regulations, including those governing advertising, intellectual property, privacy, and data protection.
Marketing Wizly does not guarantee exclusivity or originality of the Generated Content, and similar or overlapping outputs may be produced for other users.
Marketing Wizly shall not be liable for any claims, damages, or losses resulting from your reliance on or use of the Generated Content.

Ownership and License

As between you and Marketing Wizly, you own the rights to the specific Generated Content created through your use of the Services, subject to your compliance with these Terms. You may use, display, reproduce, modify, and distribute the Generated Content for lawful business purposes.

However, Marketing Wizly and its licensors retain all rights, title, and interest in and to:

The underlying software, algorithms, data models, and training methods used to generate such content; and
Any system-level data, prompts, or improvements derived from your usage that help improve the Service.

You acknowledge that these underlying technologies and processes are proprietary and may not be copied, reverse-engineered, or reused to develop competing services.

Intellectual Property

All rights, title, and interest in and to the Services — including but not limited to the Marketing Wizly name, logo, trademarks, software, source code, algorithms, user interface, visual design, text, graphics, and all other proprietary materials — are and shall remain the exclusive property of LEETHM Company LLC and its licensors.

Except as expressly permitted in these Terms or with our prior written consent, you may not copy, reproduce, modify, distribute, display, create derivative works of, or otherwise use any part of the Services or our intellectual property.

Nothing in these Terms grants you any ownership rights or licenses in the Marketing Wizly platform, technology, or content other than the limited right to access and use the Services in accordance with these Terms. All rights not expressly granted are reserved by LEETHM Company LLC.

Third-Party Services

The Services may integrate with, rely on, or provide access to third-party platforms, software, or service providers (collectively, “Third-Party Services”) to enable certain features or functionality, such as payment processing, data storage, analytics, or AI-generated content.

You acknowledge and agree that:

Third-Party Services are operated by independent providers over whom LEETHM Company LLC has no control or responsibility.
LEETHM Company does not guarantee and is not liable for the availability, security, accuracy, reliability, or conduct of any Third-Party Services.
Your use of any Third-Party Service is subject to the provider’s own terms, policies, and privacy practices, and you are solely responsible for reviewing and complying with them.
Certain information you provide to Marketing Wizly may be shared with or processed by Third-Party Services as necessary to operate and improve the platform, in accordance with our Privacy Policy.

LEETHM Company LLC disclaims all liability arising from your use of or reliance on any Third-Party Services, and no such integration shall be construed as an endorsement or guarantee of those providers or their offerings.

Disclaimer of Warranties

The Services and all related content, features, and AI-generated materials are provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, LEETHM Company LLC and its affiliates, officers, employees, agents, and licensors expressly disclaim all warranties, including but not limited to:

warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
warranties regarding the accuracy, completeness, reliability, or results of the Services or any generated content; and
warranties that the Services will be uninterrupted, secure, error-free, or available at all times.

You acknowledge that your use of the Services — including any reliance on AI-generated content — is at your own discretion and risk.

Limitation of Liability

To the maximum extent permitted by applicable law, LEETHM Company LLC and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, data, business, goodwill, or other intangible losses, even if advised of the possibility of such damages.

In no event shall LEETHM Company LLC’s total cumulative liability for any claims arising out of or related to the Services exceed the total amount paid by you to Marketing Wizly in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

These limitations apply to all causes of action, whether based in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether the limited remedies herein fail of their essential purpose.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, the liability of LEETHM Company LLC shall be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless LEETHM Company, its officers, employees, and affiliates from any claims, damages, or expenses arising out of:

Your use of the Services;
Your violation of these Terms;
Your misuse of generated content or violation of applicable laws.

Governing Law and Dispute Resolution

Governing Law

These Terms and any dispute arising out of or relating to them, the Services, or your use of Marketing Wizly shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

Dispute Resolution and Arbitration

Before initiating formal proceedings, you agree to first contact LEETHM Company LLC at [insert your support or legal email address] to attempt to resolve any dispute or concern in good faith.

If a dispute cannot be resolved informally within thirty (30) days, you and LEETHM Company LLC agree to resolve all claims and disputes through binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect.

The arbitration will take place in Virginia, USA, unless otherwise agreed in writing.
The arbitrator’s decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.
Each party will bear its own costs and attorneys’ fees unless otherwise required by law or awarded by the arbitrator.

No Class Actions

You and LEETHM Company LLC agree that any proceedings — whether in arbitration or in court — shall be conducted solely on an individual basis, and not as a class, consolidated, or representative action. You expressly waive any right to participate as a class member or representative in any class or collective claim.

Small Claims Exception

Notwithstanding the arbitration requirement, either party may bring an individual claim in small claims court located in Virginia if the claim qualifies within that court’s jurisdictional limits.

Injunctive Relief

Nothing in this section shall prevent LEETHM Company LLC from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent unauthorized use or misuse of the Services or infringement of its intellectual property rights.

Termination

We may suspend or terminate your access to the Services, in whole or in part, at any time and without prior notice if we determine that you have violated these Terms, engaged in prohibited conduct, or otherwise used the Services in a way that may cause harm to Marketing Wizly or others.

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle, and you will continue to have access to the Services until that date. No refunds will be issued for the remaining period of your active subscription unless required by law.

Upon termination or expiration of your subscription, all rights and licenses granted to you under these Terms will immediately cease, and your access to the Services and any related data may be disabled or deleted in accordance with our data retention policy.

Right to Refuse Service

Marketing Wizly reserves the right, at its sole discretion, to refuse, suspend, or terminate access to any account or user if we determine that:

The user has violated these Terms of Use;
The user’s content, activities, or business practices may expose Marketing Wizly, its users, or third parties to harm, risk, or liability;
The user’s actions could damage the reputation, integrity, or security of our platform or community; or
Continued access would be inconsistent with our legal, ethical, or operational standards.

We may exercise this right with or without prior notice, and we shall not be liable to you or any third party for any resulting suspension or termination of access.

In cases involving suspected illegal activity or serious policy violations, Marketing Wizly reserves the right to cooperate with law enforcement or regulatory authorities and to provide information as legally required.

Data Retention and Deletion

Marketing Wizly retains user account information, marketing plans, and other data you create or upload as part of your use of the Services. This data is stored securely within our internal databases and third-party cloud storage systems. You retain ownership of your data, but you grant us a license to store, process, and display it as necessary to operate the Services.

We will retain your account and associated data, even after your subscription has expired or been canceled, unless you specifically request its deletion. This allows you to maintain continuity of your projects should you decide to reactivate your account at a later time.

If you wish to permanently delete your account and all associated data, you may submit a written deletion request to our support team at hello@marketingwizly.com. Upon receiving a valid request, we will permanently remove your personal data and any stored content within a reasonable period, subject to any technical limitations or obligations under applicable law.

Please note that once your account data is deleted, it cannot be recovered.

Changes to Terms

We may update these Terms from time to time.
If material changes are made, we will notify you (e.g., via email or posting in the Application).
Continued use of the Services after changes means you accept the revised Terms.

Privacy Policy

Your use of the Services is also subject to our separate Privacy Policy, which explains how we collect, use, and protect personal information.
